Terms of Service

1. About Today Advisor

Today Advisor ("Today Advisor", "we", "us", or the "Platform") operates a global business-to-business marketplace that helps verified suppliers, manufacturers, exporters, and service providers connect with buyers who post sourcing requirements. We are a connector platform. We are not a party to the underlying commercial transactions between buyers and sellers, and we do not take title to goods or provide payment escrow for buyer-seller trades unless a specific product on the Platform states otherwise.

These Terms of Service (the "Terms") form a binding contract between you and Today Advisor. By creating an account, listing a business, browsing suppliers, posting a requirement, subscribing to a lead plan, or purchasing a service through the Platform, you agree to these Terms and to our Privacy Policy, Refund & Cancellation Policy, Verified Badge Disclaimer, Cookie Policy, and Shipping Disclaimer.

2. Eligibility

The Platform is intended for use by genuine businesses and business representatives. To create an account, you must:

• Be at least 18 years of age and legally competent to enter into a contract under the laws of your jurisdiction;
• Represent a real business, sole proprietorship, partnership, LLP, company, or other legal trading entity — not an individual consumer;
• Provide accurate, current, and complete information during signup and keep it up to date;
• Not be barred from receiving services under Indian law or any other applicable law.

Consumer buyers, hobbyists, non-business individuals, and shell entities without genuine trading activity are not eligible to use the Platform.

3. Account Responsibilities

3.1 All users

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us promptly at support@todayadviser.com of any suspected unauthorised use of your account.
• You may not create more than one account for the same business without written approval from Today Advisor.

3.2 Buyers

• Buyer inquiries and posted requirements must reflect genuine sourcing intent for legitimate business purposes.
• Buyers must not misuse supplier contact details, harvest data, or send unsolicited marketing to matched sellers.
• Buyers are responsible for conducting their own due diligence (references, samples, factory audits, credit checks) before entering into a transaction with a supplier.

3.3 Sellers

• Sellers must list only products or services they are legally entitled to offer and capable of delivering.
• Sellers must respond to inquiries in a professional, timely manner and honour quotations they issue.
• Sellers are solely responsible for their commercial terms, pricing, order fulfilment, product quality, packaging, shipping, warranties, refunds, and after-sales service.

4. Listing Rules

Every business profile, product listing, catalogue image, and requirement post must be accurate, lawful, and non-misleading. You must not list, promote, or facilitate transactions in:

• Goods or services prohibited under Indian law or the law of the destination country, including narcotics, unlicensed firearms and ammunition, counterfeit or infringing goods, endangered wildlife products, human tissues, unlicensed pharmaceuticals, hazardous materials outside your licensed scope, and any other item restricted by applicable regulation;
• Products bearing third-party trademarks, brand names, patents, or copyrighted content without proper authorisation;
• Products or services that promote hate, violence, discrimination, or that exploit minors in any way;
• Content that is defamatory, obscene, misleading, or that violates a third party's privacy or intellectual property rights.

Today Advisor may edit, hide, or remove any listing that violates these rules or that a reasonable reviewer would consider inaccurate, without prior notice.

5. Verification & the "Today Advisor Verified" Badge

Sellers may submit documents (such as a GST registration, IEC code, Certificate of Incorporation, or equivalent overseas business registration) to be considered for our Verified programme. When granted, a Today Advisor Verified badge means our team has reviewed the submitted documents on a best-effort basis and confirmed that they appear consistent with a real, currently-registered business.

The Verified badge is not a guarantee of product quality, delivery performance, financial reliability, export compliance, ethical business conduct, or the outcome of any transaction. It does not create any warranty or indemnity from Today Advisor. Please read our Verified Badge & Trust Disclaimer for full details.

6. Lead Subscription Plans

Sellers may subscribe to a paid lead plan (Free, Starter, Growth, or Premium, as described on our Pricing page) to receive a fixed monthly quota of buyer leads matched to their category, country, and profile.

• Each qualifying lead our system or team routes to a seller counts as 1 lead against the seller's monthly quota, regardless of whether the seller responds to it or converts it into a sale.
• Lead quotas reset on the first day of each billing cycle and do not roll over. Unused leads are forfeited at reset.
• We do not guarantee any specific number of buyers, inquiries, quotes, or closed transactions. Volume and quality of leads depend on category demand, seasonality, seller responsiveness, verification status, and other market factors.
• Sellers may upgrade, downgrade, or cancel their plan at any time; changes take effect from the next billing cycle. Please review our Refund & Cancellation Policy for refund conditions.
• Today Advisor may withhold leads or suspend delivery if a seller has open policy violations, unresolved buyer complaints, or a pending verification review.

7. Value-Added Services (Sourcing, Business Audit, Documentation, Promotion)

Today Advisor offers optional facilitation services, including product sourcing assistance, business audit and enhanced verification, documentation help, and promotional/featured placements. These services are provided on the following basis:

• Scope: the specific deliverables, timelines, and fees for each service request are set out in the order confirmation or scope agreed at the time of booking. Where a scope is not explicitly agreed, our standard published scope applies.
• Nature: these are facilitation services. We coordinate, review documentation, and share market intelligence. We do not act as your legal representative, licensed customs broker, chartered accountant, or auditor unless expressly stated in a separate signed engagement.
• Timelines: stated timelines are best-effort estimates and depend on the counterparty and information you provide. We are not liable for delays caused by incomplete inputs, third-party responses, or regulatory hold-ups.
• No guarantees: we do not guarantee that a sourcing enquiry will result in a matched supplier, that an audit will produce any particular finding, or that a promotional placement will produce any particular number of leads or sales.
• Fees: service fees are governed by our Refund & Cancellation Policy.

8. Prohibited Activities

You must not, and must not permit others to:

• Post fake, duplicate, misleading, or scraped listings, or impersonate another business;
• Engage in fraud, price manipulation, phishing, invoice diversion, or advance-fee scams;
• Circumvent Today Advisor's lead attribution — for example, by requesting off-platform contact to avoid quota deduction, or by soliciting subscribers away from the Platform after being introduced through it;
• Attempt to reverse-engineer, scrape, crawl, or bulk-extract data from the Platform without written permission;
• Upload malicious code, interfere with the Platform's operation, or probe its security without written permission;
• Use the Platform to send spam, unlawful marketing, or communications that violate applicable telemarketing and email rules.

9. Buyer-Seller Transactions

Any purchase order, quotation, contract, invoice, payment, shipment, and after-sales matter arising from a connection made through the Platform is solely between the buyer and the seller. Today Advisor is not a party to it and is not responsible for negotiation of terms, quality of goods or services, payment collection, refunds between the parties, taxes, customs, warranties, or dispute resolution.

We may, at our discretion and as a goodwill effort, help facilitate communication between a buyer and seller when a dispute arises, but this does not create any obligation, indemnity, or liability on our part.

10. Intellectual Property

All Today Advisor branding, software, page designs, editorial content, categorisation systems, and platform data (excluding user-submitted content) are owned by or licensed to Today Advisor. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Platform for legitimate B2B trade purposes only.

By posting a listing, product image, requirement, or review, you grant Today Advisor a worldwide, royalty-free, sub-licensable licence to host, display, adapt for display, index, and promote that content on and through the Platform, including in search results, sitemaps, category pages, and marketing.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied;
• Today Advisor, its officers, employees, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising from your use of the Platform or from any transaction between buyers and sellers;
• Our total aggregate liability to you in any 12-month period is limited to the total fees you have actually paid to Today Advisor in that period, or ₹10,000, whichever is higher.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Today Advisor from and against any claim, demand, loss, or expense (including reasonable legal fees) arising from (a) your listings, products, or services; (b) your breach of these Terms or applicable law; (c) your infringement of any third-party right; or (d) your transactions with other users of the Platform.

13. Account Suspension & Termination

We may suspend, restrict, or terminate your account or any listing, with or without notice, if we reasonably believe you have breached these Terms, harmed another user, harmed the reputation or integrity of the Platform, or engaged in unlawful activity. On termination, active lead plans are governed by our Refund & Cancellation Policy.

You may close your account at any time from your dashboard or by writing to support@todayadviser.com. Content already indexed, cached, or shared with matched counterparties may persist for a reasonable period.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall first be attempted to be resolved by good-faith negotiation for 30 days. Failing that, the dispute shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Today Advisor. The seat and venue of arbitration shall be Bengaluru, and the proceedings shall be conducted in English.
